1. Who we are

Corwin is operated by Ithoro, LLC, a Delaware limited liability company. References to “Corwin,” “we,” “us,” or “our” mean Ithoro, LLC. These Terms of Service apply to the website at corwin.nyc, its related pages, and any early access communications we provide.

By accessing the website or requesting early access, you agree to these terms and acknowledge our Privacy Policy. If you do not agree, please do not use the website.

2. Early access and availability

Corwin is an AI assistant in development. Descriptions of potential features are informational and do not guarantee that any feature, invitation, release date, or service will become available. Requesting early access does not create an account, reserve a place, establish a subscription, or guarantee access.

The website does not currently charge for early access requests. If we later introduce paid products, subscriptions, accounts, or additional features, applicable pricing and any additional terms will be presented before they apply.

3. Eligibility

You must be at least 18 years old and legally able to enter into these terms to use the website or request early access. If you use Corwin for an organization, you represent that you have authority to act on its behalf.

4. Responsible use

You may use Corwin only for lawful purposes and in a manner that respects the rights and safety of others. You agree not to interfere with the website, bypass security controls, access systems without permission, distribute malicious software, impersonate another person, or use automated methods that place an unreasonable burden on our infrastructure.

Do not send us sensitive personal information, payment card details, medical records, passwords, or information you do not have permission to share.

5. AI output and professional advice

If AI powered features become available, their output may be incomplete, inaccurate, or unsuitable for your circumstances. You are responsible for reviewing and independently verifying important information before relying on it.

Corwin does not provide legal, medical, financial, or other professional advice and should not be used as the sole basis for decisions affecting health, safety, legal rights, or financial outcomes.

6. Communications and content

The early access form prepares a message in your own email application. We receive your email address and message only if you decide to send that message. You are responsible for the information you choose to provide.

You retain your rights in content you send us. You give us permission to use that content only as reasonably necessary to respond, evaluate your request, maintain our records, and operate the website in accordance with our Privacy Policy.

7. Intellectual property

The Corwin name, branding, design, software, text, and other website content belong to Ithoro, LLC or its licensors and are protected by applicable intellectual property laws. These terms do not grant you ownership of our intellectual property or permission to use our trademarks without written consent.

8. Other websites and providers

The website may link to other websites or rely on infrastructure and email providers. Those services are governed by their own terms and privacy practices. We are not responsible for third party websites or services outside our control.

9. Availability and warranties

We may change, suspend, or discontinue all or part of the website or early access program at any time. To the fullest extent permitted by law, Corwin is provided as available and as is, without warranties of accuracy, uninterrupted availability, merchantability, fitness for a particular purpose, or noninfringement.

Nothing in these terms excludes warranties or rights that cannot lawfully be excluded in your jurisdiction.

10. Limits on liability

To the fullest extent permitted by law, Ithoro, LLC and its affiliates, officers, and personnel will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, opportunities, or goodwill arising from your use of Corwin.

Our total liability for claims relating to the website will not exceed the greater of 100 United States dollars or the amount you paid us for the relevant service during the 12 months before the claim arose. These limits do not apply where prohibited by law.

11. Suspension and termination

We may restrict or terminate access when reasonably necessary to protect the website, comply with the law, investigate misuse, or discontinue the service. Provisions concerning intellectual property, disclaimers, liability, governing law, and other obligations that should continue by their nature will survive termination.

12. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Unless applicable law requires otherwise, disputes will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

13. Updates and general terms

We may update these terms by posting a revised version and updating the effective date. Material changes will apply prospectively. If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision does not waive it.
